CONFIDENTIALITY AGREEMENT

By clicking “I agree” you hereby agree that the information, documentation and instruction
that you are about to receive is for your own personal use only and not to be copied,
downloaded or distributed by you or another person utilizing your credentials. You (hereinafter
“the Recipient”) hereby acknowledge that Piper Systems Limited (hereinafter “the Company”)
possesses certain non-public and confidential information related to its business (the
“Confidential Information”); and WHEREAS, the Company desires to disclose the Confidential
Information to the Recipient for the purpose of training and certification and the Recipient
desires to receive the Confidential Information for such purpose;
NOW, THEREFORE, in consideration of the mutual covenants contained herein and for other
good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged,
the parties agree as follows:
Confidential Information: As used in this Agreement, “Confidential Information” shall mean all
information disclosed by the Company to the Recipient related to its business, including but not
limited to, information related to: (i) the Company’s milk collection, loading, and sampling
systems; (ii) the Company’s cloud data and traceability technology; (iii) the Company’s business
plans, strategies, methods, and/or practices; and (iv) any other information that is marked or
designated by the Company as “confidential” or “proprietary”;
Non-Disclosure: The Recipient agrees to use the Confidential Information for the purpose of
product training and support only and for no other purpose. The Recipient shall not disclose any
Confidential Information to third parties without the prior written consent of the Company.
Non-Use: Except as expressly permitted by this Agreement, the Recipient will not use any
Confidential Information for its own benefit or the benefit of others.
Term: This Agreement shall remain in effect for a period of 5 years from the date of execution of
this Agreement.
Governing Law: This Agreement shall be governed by and construed in accordance with the
laws of Ireland.
